Client Service Terms & Payment Agreement
Please review these terms and sign before SR Dynamics begins work. The specific services, fees, billing dates, and project schedule will be listed in a separate Service Order prepared with you at the time of sale.
Pricing clarity: This page does not set or authorize a particular price. You are responsible only for fees clearly listed in a Service Order that you review and sign, including any monthly SR Dynamics service fee and any separately listed domain, hosting, software, advertising, or other third-party costs.
Effective date: [EFFECTIVE DATE] · Service provider: [FULL LEGAL NAME AND ENTITY TYPE], doing business as SR Dynamics (“SR Dynamics”).
The Service Order controls project-specific details
Before work begins, SR Dynamics and the client will complete and sign a separate written Service Order. It will identify the client and authorized contact, services and deliverables, start date and estimated schedule, any setup or one-time charges, monthly recurring charges and due dates, initial term and renewal/cancellation rules, and any domain, hosting, software, advertising, or other third-party costs and who pays them. A fee or expense is not authorized unless it appears in the signed Service Order or in a later written change approved by both sides. If these general terms conflict with a Service Order on project-specific scope or pricing, the Service Order controls for that project.
Fees, invoices, and payment
The client agrees to pay the amounts and on the schedule shown in the signed Service Order. Monthly charges continue only for the period and renewal terms stated there. One-time charges, deposits, milestones, taxes, and reimbursable expenses will be identified there as applicable. SR Dynamics will not add an undisclosed fee or change a recurring price without the client's written agreement. The client must keep its billing details current and promptly raise any invoice question in writing.
Third-party and pass-through costs
Domains, hosting, email, plugins, stock assets, advertising spend, payment processing, and other outside services may be billed by their providers directly to the client or included as a separately identified pass-through charge in the Service Order. The Service Order will identify known costs, billing frequency, and the account owner where practical. Third-party pricing, terms, and availability are controlled by those providers and may change. SR Dynamics will seek written approval before committing the client to a new third-party charge not listed in the Service Order.
Client cooperation and approvals
The client will provide accurate information, content, access, and approvals reasonably needed for the work, and confirms it has the rights and permissions needed for materials it supplies. The client is responsible for reviewing deliverables and identifying requested corrections within the review period stated in the Service Order. Delays in receiving materials or decisions may affect timing.
Scope changes and results
Work outside the agreed scope, additional revisions, or a changed deadline requires a written change approval that states any price or timing effect. SR Dynamics will use reasonable professional efforts but cannot guarantee search rankings, website traffic, leads, sales, advertising results, or a particular business outcome because these depend on factors outside its control.
Accounts, domains, and deliverables
Where practical, domain names and core third-party accounts purchased for a client will be registered in the client's name or transferred to the client as described in the Service Order, subject to provider rules and payment of applicable charges. Each party retains its pre-existing materials and intellectual property. The Service Order will state when ownership or a license to project-specific deliverables transfers; unless it says otherwise, transfer of final custom deliverables occurs after all amounts due for those deliverables are paid. SR Dynamics may use properly licensed tools, templates, and third-party materials subject to their license terms.
Late payment, pause, and termination
If an undisputed invoice is overdue, SR Dynamics may give written notice and a reasonable opportunity to cure before pausing work or access that SR Dynamics controls, where lawful and technically practical. Any late charge, collection expense, or nonrefundable amount must be specified in the Service Order and allowed by applicable law. Either side may end services as permitted by the Service Order. The client remains responsible for authorized fees for work performed and approved third-party commitments through the effective termination date. If payment is not made, SR Dynamics may use lawful collection methods and pursue available legal remedies, including a court action, subject to applicable law and the terms of the Service Order.
Electronic records and signatures
The parties may sign and exchange the Service Order and these terms electronically and agree to receive those records electronically. A typed name or other electronic signing action is intended to serve as the client's signature when submitted through the configured signing process. The client should be able to download or retain a copy. The website form must be configured to preserve the signed terms, the signer's details, and the submission record.
Authority and amendments
For SR Dynamics, only Owais Rasheed and Shahvayz Shuttari are authorized to negotiate and approve client Service Orders under these terms. No other person may change pricing, promise additional work, or waive a term on SR Dynamics' behalf. Changes are effective only when written and approved by the client and one of those authorized representatives. The client's signer confirms they have authority to bind the client business.
General terms
These terms and the applicable signed Service Order are the agreement for the covered services and replace prior discussions on that subject. If any provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Michigan law governs, subject to any nonwaivable law that applies. Any court proceeding must be brought in a court with jurisdiction and venue under applicable law. Notices to SR Dynamics may be sent to [BUSINESS NOTICE EMAIL] or [BUSINESS MAILING ADDRESS].
